Interpretation and Definitions
Definitions:
- "Client" refers to any entity that engages Rainvo for services outlined in this Agreement.
- "Services" includes Webflow development, consulting, maintenance, and support as per the selected subscription plan.
Background
Rainvo is a premier Webflow development firm dedicated to supporting agencies through specialized development services. This Agreement defines the terms under which Rainvo will render these services to the Client.
Operative Part
- Engagement and Term
- This Agreement includes the terms and conditions herein and is valid until any amendments are made.
- The Agreement commences upon receipt of payment for the selected services by the Client, signifying acceptance of these terms and conditions.
- The duration of this Agreement extends until the fulfillment of all responsibilities or earlier termination as provided herein.
- Scope of Services
- Rainvo will provide services according to the subscription plan selected by the Client. Services include Webflow development, consulting, maintenance, and support.
- Any changes to the scope of services must be agreed upon in writing by both parties and may result in additional fees.
- Subscription Plans and Fees
- Core Plan: $4,000 USD per month, covering two websites at a time. The Core Plan includes standard maintenance, support, and regular updates.
- Boost Plan: $6,000 USD per month, covering four websites at a time. This plan includes all features of the Core Plan and additional services as agreed upon.
- Fees are due monthly in advance and are non-refundable except as provided by the "Seamless Success Guarantee."
- Client Obligations
- The Client shall provide all necessary content, including but not limited to designs, images, graphics, videos, and other materials, as specified during initial discussions.
- Timely provision of required materials and active collaboration are essential for the success of the project. Delays in provision of materials may impact the project timeline and delivery.
- The Client is responsible for ensuring that all provided materials are accurate, complete, and compliant with any applicable laws and regulations.
- The Client's clients (end users) are responsible for costs associated with third-party services or products required for the completion of the services.
- Payment Terms
- Payments are accepted via Stripe or bank transfer. Clients choosing Stripe are responsible for any associated transaction fees.
- Payments are due at the beginning of each billing cycle. Late payments may result in suspension or termination of services.
- Clients opting for annual payments are eligible for a 10% discount on the total yearly fee. Annual payments must be made in full at the beginning of the billing cycle.
- Intellectual Property
- Both parties may showcase the work performed under this Agreement, giving appropriate credit to each other. If the Client wishes to keep the work private, they must notify Rainvo in writing before the start of the project.
- Rainvo retains the right to use the developed work for promotional purposes unless explicitly stated otherwise by the Client.
- Confidentiality
- Rainvo will maintain the confidentiality of all Client materials and proprietary information and will not disclose such information to third parties without the Client's written consent, except as required by law.
- Confidentiality obligations will continue even after the termination of this Agreement.
- Guarantees
- Rainvo provides a "Seamless Success Guarantee" as detailed on the Rainvo website. If the Client is not satisfied with the services within the first 30 days, Rainvo will refund the first month's payment.
- The guarantee does not cover dissatisfaction arising from Client delays, incomplete information, or changes in project scope initiated by the Client.
- Limitation of Liability
- Rainvo or its members are not liable for any problems that arise, including but not limited to the misuse of the website by the end user.
- Rainvo's liability under this Agreement is limited to the amount paid by the Client for the services rendered, as established in the "Seamless Success Guarantee."
- Rainvo is not liable for indirect, incidental, or consequential damages, including but not limited to loss of data, revenue, or profits.
- Termination
- The Client may terminate this Agreement at any time upon providing a written notice via email. It is important to first discuss the intention to terminate with Rainvo to explore any possible resolutions.
- Rainvo may terminate the Agreement if payments are not made on time or if the Client fails to meet their obligations under this Agreement.
- Upon termination, the Client is responsible for fees and expenses incurred up to the date of termination. All rights to the work provided up to the termination date remain with the Client upon full payment.
- Service Level Agreement (SLA)
- Rainvo will respond to client inquiries within a maximum of 2 hours during business hours (Monday to Friday, 9:00 am - 6:00 pm Mexico City time). No support is available on Saturdays and Sundays.
- Project completion timelines will vary based on the complexity of the project and will be discussed and agreed upon with the Client. Rainvo commits to providing timely updates and progress reports.
- Dispute Resolution
- Any disputes arising under this Agreement will be discussed between both parties in good faith to reach an amicable resolution. If a resolution cannot be reached, the parties agree to proceed to mediation before pursuing any other form of dispute resolution.
- Third-Party Services
- Rainvo's Tools: Rainvo uses tools such as Webflow, WhatsApp, Notion, MarkUp, Loom, no-code integrations, and 1Password for delivering its services. The costs associated with these tools are covered by Rainvo.
- Client's Client Responsibilities: Costs associated with third-party services or products specifically required for the Client's projects are the responsibility of the Client's clients (end users). Rainvo will inform the Client of any anticipated third-party fees that may affect their clients.
- Client Support and Communication
- Rainvo is available for client support via WhatsApp and phone from Monday to Friday, 9:00 am to 6:00 pm Mexico City time.
- Rainvo uses Notion for managing the backlog of client requests, ensuring transparency and efficiency in handling all client needs and updates.
- Modifications to Services
- Requests for modifications to the scope or scale of the project must be discussed and agreed upon in writing. Complex modifications may require an additional session to scope out the changes, while simpler requests can be discussed via WhatsApp or email.
- All modifications may be subject to additional fees, which will be communicated to the Client prior to implementation.
- Data Protection and Privacy
- Rainvo adheres to its Privacy Policy, compliant with GDPR, as detailed on the Rainvo website. The policy governs the collection, use, and protection of client data.
- The Client consents to the processing of their personal data by Rainvo for the purposes of fulfilling this Agreement.
- Updates and Changes to Services
- Rainvo reserves the right to modify the terms of service or the services provided at any time. Clients will be notified of such changes via email and WhatsApp. Continued use of the services following any changes indicates acceptance of the new terms.
